This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the website https://teamarketplace.in and its associated mobile application (hereinafter collectively referred to as the “Platform”).

The Platform is owned and operated by Tea Board, a body corporate, constituted under section 4 of Tea Act, 1953, with its head office at 14, B. T. M. Sarani, Kolkata 700001 (hereinafter referred to as “theBoard”).

For the purpose of these Terms and Conditions, wherever the context so requires, “User” shall mean any natural or legal person who has agreed to become a buyer or seller on the Platform by providing registration data while registering on the Platform as a registered user.

The User’suse of the Platform and services and tools are governed by the following “Terms and Conditions” as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. If the user transacts on the Platform, the user shall be subject to the policies as amended from time to time that are applicable to the Platform for such transaction. By accessing or using the Platform, the User agrees that a contractual relationship is formed with the Board. These Terms and Conditions, together with the applicable policies, shall constitute binding obligations on the User in relation to the Board.

  1. DEFINITIONS

    1. “Agreement” shall mean these Terms and Conditions, the Privacy Policy, and any other rules and policies of the Platform that may be published from time to time.

    2. “Buyer” shall mean any User who places order for teas bearing ‘Tea Mark’ that are listed for sale on the Platform.

    3. “Intellectual Property Rights” shall mean all intellectual property rights and all analogous rights subsisting under the laws of each and every jurisdiction throughout the world and intellectual property for the full term of the rights concerned and including all extensions and renewals of such rights, whether or not such rights are registered or capable of registration, including, without limitation, copyrights, trademarks, trade names, service marks, patents, designs and all other proprietary rights of whatsoever nature.

    4. “Product(s)” shall mean the various types of tea listed for sale by Sellers on the Platform, which are certified with the ‘Tea Mark’.

    5. “Seller” shall mean a tea producer duly authorized by Tea Boardto use ‘Tea Mark’ and is registered on the Platform to list, display, and sell different types of tea.

1.6. “Tea Mark” shall mean the certification mark authorised/licensed by Tea Board, signifying compliance with specific quality, authenticity and production standards as defined by Tea Board.

  1. SCOPE OF SERVICES

    1. The Platform is an e-commerce marketplace that provides a digital venue for ‘Tea Mark’ certified Sellers to showcase and sell their different types of tea directly to Buyers.

    2. The Board’s role is limited to providing the Platform as an intermediary for facilitating the transaction between the Seller and the Buyer. The contract for sale of any of the Products shall be a strictly bipartite contract between the Seller and the Buyer.

    3. At no time shall the Board have any right, title or interest over the Products nor shall the Board have any obligations or liabilities in respect of such contract entered into between the Seller and the Buyer. The Board is not responsible for any non-performance or breach of any contract entered into between Buyers and Sellers.

  2. USER ELIGIBILITY AND ACCOUNT

    1. Use of the Platform is available only to persons who can form legally binding contracts as per the Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Platform.

    2. The Userisresponsible for maintaining the confidentiality of their display name, password, and all activities that occur under theiraccount. The useragrees to immediately notify the Board of any unauthorized use of theiraccount or any other breach of security.

    3. The User agrees that if the Userprovides any information that is untrue, inaccurate, not current or incomplete, the Board shall have the right to indefinitely suspend or terminate or block access of the User’s membership on the Platform.

  3. SELLER OBLIGATIONS

    1. Certification Requirement: The Seller represents and warrants that they are a valid and current holder of the ‘Tea Mark’ certification for the teas listed on the Platform.

    2. Verification: The Seller acknowledges and agrees that the Board reserves the right at its sole discretion to verify the validity and status of the ‘Tea Mark’ certification with the issuing Officialat any time. The Board shall have the right to immediately delist the Seller and their Products and terminate their account if the certification is found to be expired, fraudulent, revoked or invalid for any reason.

    3. Product Listing and Accuracy: The Seller shall be solely responsible for the accuracy and legality of the information provided for each Product listing, including but not limited to, descriptions, images, prices, weight, origin, and manufacturing details. All such information must be true, current and not misleading in any manner.

    4. Compliance with Laws: The Seller warrants that all Products listed for sale are in compliance with all applicable Indian laws, including but not limited to the Food Safety and Standards Act, 2006, the Legal Metrology Act, 2009, and Food Safety and Standards (Labelling and Display) Regulations, 2020.

    5. Order Fulfilment: The Seller shall be solely responsible for processing, packaging, and shipping the Products to the Buyer in a timely and professional manner as per the terms agreed upon at the time of sale.

    6. Warranties: The Seller exclusively warrants the quality, quantity, authenticity, safety, and fitness for purpose of the Products sold to the Buyer.

  4. PLATFORM’S ROLE AND LIMITATION OF LIABILITY

    1. The Platform is provided on an “as is” and “as available” basis without any representation or warranties, express or implied, except as otherwise specified in writing. The Board does not warrant that the Platform will be constantly available, or available at all; or that the information on this Platform is complete, true, accurate or non-misleading.

    2. The Board, in its capacity as an ‘intermediary’ under the Information Technology Act, 2000, shall not be liable for any third-party information, data, or communication link made available or hosted on the Platform.

    3. The Board shall not be liable for any damages of any kind arising from the use of this Platform or from any information, content, materials, products or services included on or otherwise made available to the Userthrough this Platform, including, but not limited to direct, indirect, incidental, punitive and consequential damages.

    4. The Board does not make any representation or warranty as to the item-specifics (such as quality, value, saleability, etc.) of the Products proposed to be sold or offered to be sold on the Platform. The Board accepts no liability for any errors or omissions, whether on behalf of itself or third parties (Sellers).

    5. The Board shall not be responsible for any dispute arising between a Buyer and a Seller including but not limited to disputes regarding product quality, delivery, payment or returns. The Board is not obligated to mediate or resolve any such dispute.

  5. PAYMENTS

    1. While availing any of the payment method/s available on the Platform, the Board will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to the Userdue to:

  1. Lack of authorization for any transaction/s, or

  2. Exceeding the pre-set limit mutually agreed by the Userand between “Bank/s”, or

  3. Any payment issues arising out of the transaction, or

  4. Decline of transaction for any other reason/s.

    1. All payments made against the purchases on the Platform by the Usershall be compulsorily in Indian Rupees acceptable in the Republic of India.

  1. INTELLECTUAL PROPERTY RIGHTS

    1. All Intellectual Property Rights in and to the Platform, and in the material published on it, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software are the property of the Board, its affiliates or its content suppliers and are protected by Indian and international copyright and other intellectual property laws.

    2. The Seller grants the Board a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to use, reproduce, display, distribute, and create derivative works from any content, including product images and descriptions, provided by the Seller for the purpose of listing and promoting the Products on the Platform.

  2. INDEMNIFICATION

    1. The Useragrees to indemnify, defend and hold harmless the Board, its Chairman, Deputy Chairman, officers, employees, consultants, agents and affiliates, from any and all third-party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from the User’suse of this Platform, the User’sbreach of these Terms and Conditions or the User’sinfringement of any intellectual property or other right of any person or entity. This clause shall particularly apply to Sellers, who shall indemnify the Board against any and all claims related to their Products, including but not limited to product liability claims, claims of misrepresentation, or claims of infringement of third-party rights.

  3. TERMINATION

    1. The Board may suspend or terminate the User’suse of the Platform or any Service if it believes, in its sole and absolute discretion that the User have breached, violated, abused, or unethically manipulated or exploited any term of these Terms and Conditions or anyway otherwise acted unethically.

    2. Notwithstanding any other provisions of this Agreement, or any general legal principles to the contrary, any provision of this Agreement that imposes or contemplates continuing obligations on a Userwill survive the expiration or termination of this Agreement.

  4. GOVERNING LAW AND DISPUTE RESOLUTION

    1. These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

    2. Any dispute, claim or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in India, before a sole arbitrator appointed by the Deputy Chairman of the Board. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of such arbitration shall be Kolkata. The language of the arbitration shall be English.

10.3. Subject to the foregoing, the courts at Kolkata, West Bengal, India shall have exclusive jurisdiction over any disputes arising out of or in relation to this Agreement.

  1. MODIFICATION OF TERMS

    1. The Board reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms and Conditions, at any time without any prior written notice to the User.It is the User’s responsibility to periodically review these Terms and Conditions to stay informed of any updates or changes. Continued use of the Platform after such changes are posted constitutes the User’s acceptance of and agreement to the revised Terms and Conditions.

  2. MISCELLANEOUS

    1. Severability: If any provision of these Terms and Conditions is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced.

    2. Waiver: The Board’s failure to enforce any right or provision in these Terms and Conditions will not constitute a waiver of such right or provision unless acknowledged and agreed to by the Board in writing.

    3. Entire Agreement: These Terms and Conditions, together with the Privacy Policy and any other legal notices published by the Board on the Platform, shall constitute the entire agreement between you and the Board concerning the Platform.
